1. Introduction and Acceptance of Terms

By accessing or using our website cmshub.io or any of our services, POS systems, wireless merchant hardware, payment gateways, and invoicing platforms, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, you must immediately cease using our services.

2. Nature of Services

The Company operates as a registered Independent Sales Organization (ISO) and Merchant Service Provider (MSP). We offer merchant acquisition, hardware deployment (including POS and wireless credit card machines), invoice management, and secure payment processing gateways.

3. Relationship with Third-Party Processors & Sponsor Banks

• Intermediary Status: You acknowledge that the Company acts as an ISO/MSP agent working with primary processors and underlying member clearing banks.
• Underwriting & Approval: All merchant accounts require strict credit and risk underwriting. Filling out an application on our site does not guarantee account approval. Final approval is determined by our sponsor banks and back-end processors.
• Binding Agreements: To use our payment processing services, you will be required to execute a separate legally binding Merchant Processing Agreement (MPA). If there is a conflict between these website Terms and your signed MPA, the terms of the MPA will control.

4. Prohibited Businesses and Activities

You agree not to use our site, hardware, or gateways to process payments for illegal, restricted, or highly volatile business types. This includes, but is not limited to, fraudulent schemes, unauthorized copyrighted materials, unlicensed adult content, or any activity prohibited by major card networks (Visa, Mastercard, Discover, American Express).

5. Limitation of Liability

To the fullest extent permitted by law, CMS hubs shall not be liable for any indirect, incidental, special, or consequential damages. This includes, but is not limited to, loss of profits, data, hardware downtime, or transaction disruptions arising out of or connected with the use of our POS terminals, wireless machines, or payment gateways.

6. Governing Law

These Terms and Conditions shall be governed by, construed, and enforced in accordance with the laws of the jurisdiction in which our primary corporate headquarters is registered, without regard to its conflict of law provisions.
